1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Cedar Ledger", "we", "us", "our" — Cedar Ledger, a records organisation education practice registered and operating from Level 6, Wisma Perkasa, Jalan Tun Razak, 25200 Kuantan, Pahang, Malaysia.
- "User", "you", "your" — any person who accesses this website or participates in a Cedar Ledger session or programme.
- "Services" — the educational sessions, programmes and consulting engagements offered by Cedar Ledger, as described on this website.
- "Content" — all materials, templates, charts, workbooks and other documents provided by Cedar Ledger as part of a session or programme.
- "Agreement" — these Terms and Conditions, together with any programme-specific terms communicated at the time of booking.
2. Acceptance of Terms
By accessing this website or submitting an enquiry or booking, you confirm that you have read, understood and agree to be bound by this Agreement. If you do not agree, you should not use this website or participate in any Cedar Ledger session or programme.
Our Services are intended for adults aged 18 years and over. By using this website or registering for a session, you confirm that you meet this requirement and have the legal capacity to enter into this Agreement.
3. Description of Services
Cedar Ledger provides general education in household document organisation, records indexing, retention guidance and records architecture. Our Services are educational in nature and are expressly limited to records organisation. They do not constitute legal, financial, tax, estate-planning, property valuation or any other regulated professional advice.
Our current programme offerings are:
- Document Index and Retention Session (RM 495 per person)
- Estate Records Preparation Programme (RM 2,080 per participant)
- Family Office Records Architecture Consulting (RM 4,350 engagement fee)
Cedar Ledger reserves the right to modify, suspend or discontinue any programme with reasonable notice. Services are delivered primarily from our Kuantan, Pahang office and may be conducted in person or via agreed remote arrangements.
4. User Responsibilities
When using this website or participating in a programme, you agree to:
- Provide accurate and complete information in enquiry forms and programme registration
- Use the website and programme Content for personal, household or organisational records purposes only
- Not reproduce, distribute or publish Cedar Ledger Content without prior written permission
- Not use the website in any manner that could damage, disable or impair its operation
- Seek appropriate qualified professional advice for all matters outside the scope of records organisation education
5. Intellectual Property
All Content produced by Cedar Ledger, including session materials, templates, retention charts, workbooks, classification schemas and written guidance, is the intellectual property of Cedar Ledger and is protected under applicable Malaysian intellectual property law.
Upon completion of a programme, participants receive a limited, non-exclusive, non-transferable licence to use the Content for their own personal or organisational records purposes. This licence does not permit resale, redistribution, or use in any commercial or educational offering without prior written consent from Cedar Ledger.
6. Payment Terms
All fees are stated in Malaysian Ringgit (RM). Payment terms and accepted methods are confirmed at the time of booking. Fees are due prior to the commencement of a session or programme unless otherwise agreed in writing.
Cancellation and refunds: Cancellations notified in writing more than seven calendar days before a session or programme commencement are eligible for a full refund. Cancellations within seven days of commencement are not eligible for a refund, though Cedar Ledger will use reasonable efforts to offer a transfer to an alternative date where possible. For the Family Office consulting engagement, payment and cancellation terms are specified in the engagement letter.
7. Programme-Specific Terms
Document Index and Retention Session: Attendance in person or via agreed remote arrangement. Session materials are provided at or before the session. The session is educational only; outputs are index templates and reference charts, not completed indexes or personalised advice.
Estate Records Preparation Programme: An eight-week programme. Missed sessions may be completed through available alternative arrangements at Cedar Ledger's discretion. Completion of all sessions is not required to retain access to programme materials, but the closing structural review is conditional on attendance at all or most sessions.
Family Office Records Architecture Consulting: Terms, deliverables, milestones and payment schedule are set out in a separate engagement letter agreed before commencement. These Terms apply alongside that letter; where there is a conflict, the engagement letter takes precedence.
8. Disclaimers
Cedar Ledger's Services are provided for general educational purposes only. Nothing on this website or in any session, programme or material constitutes legal, financial, estate-planning, tax, property valuation or any other regulated professional advice. All substantive questions are referred to appropriately qualified professionals by category.
Retention periods cited in Cedar Ledger materials are taken from published sources and are presented as general guidance only. Retention requirements may vary depending on individual circumstances, jurisdiction and applicable laws. You should verify retention requirements with a qualified professional for your specific situation.
The website and Content are provided "as is". Cedar Ledger makes no representation that the website will be uninterrupted, error-free or free of harmful components.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Cedar Ledger's total liability to you arising from or in connection with these Terms, the website or the Services shall not exceed the amount paid by you for the relevant session or programme in the twelve months preceding the relevant claim.
Cedar Ledger shall not be liable for any indirect, consequential, special, incidental or punitive loss or damage arising from your use of the website or participation in a programme. Cedar Ledger shall not be liable for any loss arising from your reliance on programme Content as a substitute for qualified professional advice.
10. Indemnification
You agree to indemnify and hold Cedar Ledger and its practitioners harmless from any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of this Agreement, your misuse of the website or Content, or any claim by a third party arising from information or documents you brought to a session or programme.
11. Termination
You may withdraw from a session or programme at any time by notifying us in writing. Refund eligibility is as set out in Section 6.
Cedar Ledger may terminate or suspend your participation in a programme if you breach these Terms, behave in a manner that disrupts other participants, or engage in conduct that Cedar Ledger reasonably considers inappropriate. In such cases, fees paid are non-refundable.
12. Dispute Resolution and Governing Law
This Agreement is governed by the laws of Malaysia. Any dispute arising out of or in connection with this Agreement shall first be referred to informal resolution by written notice to Cedar Ledger at [email protected]. Cedar Ledger will respond within 14 days.
If informal resolution is not achieved within 30 days of the written notice, either party may refer the dispute to the courts of Malaysia, and both parties submit to the non-exclusive jurisdiction of the Malaysian courts.
13. General Provisions
- Entire agreement: This Agreement, together with any programme-specific engagement letter, constitutes the entire agreement between you and Cedar Ledger in relation to the subject matter hereof.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by Cedar Ledger to enforce any provision of this Agreement does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under this Agreement without Cedar Ledger's prior written consent. Cedar Ledger may assign its rights with reasonable notice to you.
- Notices: Notices to Cedar Ledger should be sent to [email protected] or by post to our Kuantan address.
14. Changes to These Terms
Cedar Ledger may update these Terms from time to time. Updated Terms will be published on this page with a revised Last Updated date. Continued use of the website or participation in a programme after the effective date of updated Terms constitutes acceptance. For material changes, we will take reasonable steps to notify affected participants directly.
